The services offered by SeeItSoldOnline.Com ("SeeItSoldOnline.Com") include the SeeItSoldOnline.Com web site (the "SeeItSoldOnline.Com Web site"), the SeeItSoldOnline.Com Internet hosting service, and any other features, content, or applications offered from time to time by SeeItSoldOnline.Com in connection with the SeeItSoldOnline.Com Web site (collectively, the "SeeItSoldOnline.Com Services"). The SeeItSoldOnline.Com Services are hosted in the U.S. This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the SeeItSoldOnline.Com Services. By using the SeeItSoldOnline.Com Services, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the SeeItSoldOnline.Com Web site) or you are a "Member" (which means that you have registered with SeeItSoldOnline.Com as a paying or trial customer). The term "User" refers to a Visitor or a Member. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SeeItSoldOnline.Com'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO SeeItSoldOnline.Com FOR THE SeeItSoldOnline.Com SERVICES DURING THE TERM OF MEMBERSHIP. This product may be canceled at any time by contacting us by email, phone, or in writing. Once cancelled remaining contract term will still be available for use and at end of original contract term be cancelled in full with no monetary return same applies to check, credit card or cash. Notwithstanding anything else contained in this agreement User hereby agrees to indemnify, defend (with counsel reasonably acceptable to SeeItSoldOnline.com), protect and hold harmless SeeItSoldOnline.com and it's Representatives from and against any and all claims, causes of actions, demands, losses, judicial and administrative proceedings, liabilities, forfeitures, errors, damages, costs and expenses (including, without limitation, reasonable attorneys' fees and legal costs and expenses, whether or not suit is filed or proceedings instituted thereon), directly or indirectly arising in connection with this Agreement, or the various subject matters hereof, or relationships created hereby, or any breach or default in User's performance of any of it's obligations hereunder, or User's operation of it's business, or its maintenance and/or operation of its Web Site(s), or any act or omission of any of the Credit Card Users, any Approved Processors, Merchant Bank, or any of User's partners, shareholders, officers, directors, employees, managers, members, agents, representatives, affiliates, agents or representatives, whether or not intentional or negligent, and whether or not covered by any policies of insurance. Without limiting the generality of the foregoing, Seeitsoldonline.com and User expressly acknowledge and agree that Seeitsoldonline.com will not in any way be held responsible for any type of item posted or transaction done through Users web site. User agrees to hold Seeitsoldonline.com and its Representatives harmless from and against any damages, losses, liabilities, errors, and actions of any kind whatsoever in the event of mechanical, power or communications failures which are out of Seeitsoldonline.coms' control. Additionally, Seeitsoldonline.com and User expressly acknowledge and agree that Seeitsoldonline.com shall not in any way be held responsible or accountable for Users actions and that of their customers for any and all reasons. Force Majeure. If Seeitsoldonline.com cannot perform any of its obligations due to events beyond its control, such failure to perform shall not constitute a breach of this Agreement. Events beyond Seeitsoldonline.coms' control (each an "Event of Force Majeure") include, but are not limited to, acts of God or nature, war, civil commotion, labor disputes, equipment failures, strikes, fire, flood or other casualty, shortages of labor or material, government regulation or restriction, weather conditions, breaches or failures to perform by third parties, and mechanical, power or communications failures.
